Special Called Meeting
Call to Order:

Senators Absent: Sarah Hawkins, Latonya Hesterberg, Gary LaFleur, Stephen Lange, Lesia Lennex, Barbara Lyons, Ron Morrison, Pam Ryan, Mark Schack, Rodney Stanley, Denise Watkins, Yuqiu You
Minutes: Chair Berglee asked if there were any corrections to the minutes of March 11, 2010. There were no changes to the minutes of March 11, 2010. Minutes approved as submitted.
Announcement:
There will be a regular meeting of the Senate next Thursday, April 1, 2010.

Chair Berglee explained the review process for the Senate Constitution.
Senator Rogers brought before the members - ARTICLE FOUR: New Section 10., which he felt was a duplication of ARTICLE FOUR: Section 4 - Duties of the Chair-elect. After discussion, Senator Remillard moved to delete “new Section 10”. Senator Fultz seconded the motion. Motion passed.
The Senate continued discussion of the Constitution with ARTICLE FIVE: Section 9. which was removed by the Constitution Review committee. The Senate voted to delete Section 9. the Committee on Communications.
ARTICLE FIVE: Section 8. Senator Macintosh moved to approve this section as submitted by the Governance Committee. Senator Chapman seconded the motion. Motion passed.
ARTICLE FIVE: Old Section 10. Faculty Senate Ad Hoc Committees. The Constitution Review committee’s revisions were to delete Section 10. The Governance Committee’s revision was to restore it as it was in the original Constitution. Senator Irons moved to retain Section 10 as submitted by the Governance Committee. Senator Klecker seconded the motion. Motion passed.
ARTICLE SIX: MEETINGS. Sections 1, 2 and 3. had no changes by the Constitution Review committee or the Governance committee and will remain as in the original document.
ARTICLE SIX: Section 4. (first sentence, of the Governance committee report). Senator Chatham moved to add after “membership” the following: “,except during the summer, when quorum is one-third (1/3) of the Faculty Senate Membership”. Senator McCormick seconded the motion. Motion passed.
ARTICLE SIX: Section 5. had no changes by the Constitution Review committee or the Governance committee and will remain as in the original document.
ARTICLE SIX: Section 6. The Senate voted to approve Section 6 as submitted by the Governance committee.
ARTICLE SIX: Section 7. After discussion of this Section, Senator Baker moved to change “Appropriate” to “Official” in Line 422. Senator Gibbs seconded the motion. Motion failed. Senator Hennen moved to delete the word “Appropriate” in Line 422. Senator McCormick seconded the motion. Senator McCormick made a friendly amendment to delete the entire sentence “Appropriate correspondence involving Faculty Senate activities shall be kept in the Faculty Senate Office.” Friendly amendment was not accepted. The motion to delete the word “Appropriate” failed. Senator Macintosh moved to approve Section 7 as submitted. Senator Chapman seconded the motion. Senator Rogers clarified exactly what approving as submitted would change. After the clarification, Senator Macintosh withdrew the motion. Senator Chapman agreed. Senator McCormick moved to leave in “and honorary members of the Senate” on Line 424; to add “correspondence” in the first sentence after “committee reports” on Line 421; delete second sentence that begins with “Appropriate correspondence…”; delete “department chairs, deans, and vice presidents.” on line 424 and 425; and leave in the sentence “The Chair may disseminate Faculty Senate records as deemed appropriate, relevant, or necessary.” Senator Craig seconded the motion. Motion passed. An editorial change will be made in the first line of Section 7 to clarify that “Chair” refers to the Faculty Senate Chair.
ARTICLE SEVEN: Section 1. Senators discussed compensation and reassigned time for the Chair and the Chair-elect. A variety of suggestions were made for providing compensation for these two positions. Senator Irons moved to keep the word “allocate” instead of “receive” and keep “in consultation with the Provost” in the first sentence of Section 1. Motion failed for lack of a second. Senator McCormick moved to change “three credit hours of compensation, based on the applicable formula,” to “2 (two) times the compensation of an adjunct professor teaching a three hour class” on Line 436 for the Chair-elect for responsibilities during the summer. The motion was seconded. Motion passed. Senator Irons moved that “three credit hours of compensation, based on the applicable formula,” for the Chair in Line 433 be changed to match the Chair-elect. Senator Rogers seconded the motion. Motion passed. Senator McCormick moved to approve Section 1 as revised. Senator Macintosh seconded the motion. Motion passed.
ARTICLE SEVEN: Section 2 and 3. Senator Chapman moved to approve these two sections as submitted by the Constitution Review committee. Senator Rogers seconded the motion. Motion passed.
ARTICLE SEVEN: Section 4. Senator McCormick moved to approve as presented. Motion was seconded. Senator McCormick made a friendly amendment to her motion to also change “secretarial help” to “secretary position” in ARTICLE SEVEN: Section 2. Friendly amendment accepted. Motion passed.
ARTICLE EIGHT: Section 1. Approved as submitted with editorial correction “Committees” to “Committee”.
ARTICLE EIGHT: Section 2. Senator Rogers provided the rationale for restoring Section 2 which had been deleted by the Constitution Review committee. The Senate approved restoring Section 2 as submitted by the Governance committee.
ARTICLE EIGHT: Section 3. Senator Chapman moved to approve as submitted by the Governance committee. Senator Macintosh seconded the motion. Motion passed.
ARTICLE NINE: All Sections. Senator Chapman moved to approve as submitted by the Governance Committee. Senator Chatham seconded the motion. Motion passed.
ARTICLE TEN: EFFECTIVE DATE: and ARTICLE ELEVEN: TRANSITION: Approved by the Senate with the following editorial corrections: “Twelve” changed to “Eleven” in Line 493 and “current” changed to “in effect” in Line 500.
ARTICLE TWELVE: SEVERABILITY: Senator Irons moved to approve as submitted by the Governance committee. Senator Chapman seconded the motion. Motion passed.
The review of the Constitution was completed.
Senator Irons moved to approve the entire Constitution in order to forward to the Faculty at-large as soon as possible. Motion seconded. After discussion, motion passed to call the question. Chair Berglee asked for a vote on approving the Constitution as reviewed and revised during the Senate meetings. The Senators voted to approve the Constitution.
The Senate continued discussion with the FACULTY SENATE SPECIAL RULES OF ORDER.
Old Rule 1. Senator Chatham moved to approve the deletion of Rule 1. Senator McCormick seconded the motion. Motion passed.
Old Rule 2 (new 1). Motion was made and seconded to approve as presented by the Governance Committee. Motion passed.
Old Rule 3 (new 2). Senator Chatham moved to delete the second sentence. Senator Craig seconded the motion. Motion passed. Senator Chatham moved to approve the remaining sentence in New Rule 2. Senator Perkins seconded the motion. Motion passed.
Senator Chapman moved to approve New Rules 3, 4 and 5. Senator Klecker seconded the motion. Senator Chatham explained that he felt some changes needed to be made in 3, 4, and 5, and that he had written motions ready to present. Motion failed.
Old Rule 4 (new 3). Senator Chatham moved to: Replace Special Rule of Order 3 (in the Governance Committee report) with “3. A motion to recommend changes to University policy or to change Senate rules shall not be voted on at the meeting at which it is moved. When such a motion is made and seconded, there shall be a “first reading” at which the mover will explain the motion and answer questions by Senators about the motion. During a first reading, no debate on or amendment of the motion shall be in order. With the approval of a majority of the Senate, the first reading shall end and the Executive Council shall place the motion on the agenda of a subsequent meeting for “second reading”, at which debate of and amendments to the motion are in order.” Senator Parkansky seconded the motion. After discussion, Senator McCormick made a friendly amendment to remove “With the approval of a majority of the Senate, the first reading shall end and”. Friendly amendment was accepted by Senators Chatham and Parkansky. Motion passed.
Old Rule 5 (new 4). (in the Governance Committee report): Senator Chatham moved to: replace “the moving party” with “unanimous consent of the Senate.” Senator Irons seconded the motion. Motion failed. Senator McCormick moved to approve Old Rule 5 (new 4) as submitted: “Friendly amendments that are accepted by the moving party are allowed”. Senator Craig seconded the motion. Motion passed.
Senator Craig moved to suspend the rules to extend the meeting time to 6:10 pm. Motion was seconded. Motion passed.
New Rule 5. Senator Chatham moved to approve as submitted. Senator Nabb seconded the motion. Motion passed.
Senator Chatham moved to: Add a new Special Rule of Order 6 to read as follows: “Each meeting of the Faculty Senate shall adjourn no later than 110 minutes after the meeting is called to order.” After clarification by Senator Rogers, Senator Chatham withdrew his motion.
Senator McCormick moved to change Rule 6 from “Faculty Senate meeting shall adjourn no later 6:00 pm” to “Each meeting of the Faculty Senate shall adjourn no later than 110 minutes after the meeting is called to order.” Senator Chatham seconded the motion. Senator Rathbun called the question. Motion passed to call the question. The Senate approved the motion for Rule 6 to read: “Each meeting of the Faculty Senate shall adjourn no later than 110 minutes after the meeting is called to order.”
Senator Craig moved to add a Special Rule of Order to read: “The Chair of the Faculty Senate may nominate a Senator to serve as parliamentarian in order to clarify procedural questions as they arise. The nominee for parliamentarian must be approved by a majority of Senators voting.” Senator Klecker seconded the motion. Senator Irons made a friendly amendment to add “or other willing faculty member”. Senator Craig did not accept the friendly amendment. Senator Rathbun called the question. Motion passed to call the question. The Senate approved the motion to add a Special Rule of Order regarding a parliamentarian.
Motion was made to adjourn. Motion passed.
Adjournment: 6:10 p.m.
